Pursuant to the Euronext Growth Milan Issuers’ Regulation approved and published by Borsa Italiana and subsequent amendments and integrations (the “
\n Euronext Growth Milan Issuers’ Regulation<\/em>
\n<\/strong>“), anyone who holds at least 5% of a category of financial instruments of Markbass S.p.A. admitted to trading on Euronext Growth Milan is a significant shareholder (“
\n Significant Shareholder<\/em>
\n<\/strong>“). The reaching or exceeding of the thresholds of 5%, 10%, 15%, 20%, 25%, 30%, 50%, 66.6%, and 90% of the share capital, as well as the reduction below the aforementioned thresholds, constitute, pursuant to the Euronext Growth Milan Issuers’ Regulation, a substantial change (“
\n Substantial Change<\/em>
\n<\/strong>“) that must be communicated by the Significant Shareholders to Markbass S.p.A. within 4 trading days, starting from the day the transaction causing the Substantial Change was carried out. <\/p>\n

Such communication must indicate:<\/p>\n

    \n
  1. the identity of the Significant Shareholders involved;<\/li>\n
  2. the date Markbass S.p.A. was informed;<\/li>\n
  3. the date on which the Substantial Change in holdings occurred;<\/li>\n
  4. the price, amount, and category of the financial instruments of Markbass S.p.A. involved;<\/li>\n
  5. the nature of the transaction;<\/li>\n
  6. the nature and extent of the Significant Shareholder’s participation in the transaction.<\/li>\n<\/ol>\n

    To this end, each Significant Shareholder may use the communication templates referred to in the “Transparency Regulation” (as defined in the Euronext Growth Milan Issuers’ Regulation) with particular regard to the information and communications required from Significant Shareholders.
